Credit support from banks has been the primary funding source for corporate acquisitions in the international market. In recent years, as the number of acquisitions by multinationals of Chinese companies has continued to grow, we have assisted international banks in achieving many acquisition financing projects, including:

  • In 2008, representing CVC Capital in the financing for its acquisition of a domestic furniture group.
  • In 2008, representing a leading international bank in its share acquisition of a domestic new energy company which includes financing the target company’s foreign shareholder.
  • In 2008, acting as legal counsel to Credit Suisse International in its refinancing to New City Wai Gaoqiao Holding Company and its domestic subsidiary Shanghai Wai Gaoqiao New City Warehousing Co., Ltd in connection with the acquisition of warehouses, advising on all onshore aspects of the offshore and onshore transactions. This deal won China Law & Practice Banking Deal of the Year 2008 Award.
  • In 2007, acting as PRC legal counsel to a syndicate with Credit Suisse as the arranger and facility agent, in its USD 400 million credit facility to Happy Genius Group for the offshore listing, our work scope included conducting due diligence investigation against Jiangsu Zhongneng Silicon Technology Development Co. Ltd., a PRC subsidiary of Happy Genius Group, drafting key issues DD report, advising on complex legal issues and reviewing the relevant finance documents.
  • From 2006 to 2007, acting as PRC legal counsel to BNP Paribas Hong Kong Branch in its USD loan finance to a multinational company for the share acquisition of a domestic Chinese company. Our work included the due diligence investigation on the domestic company, reviewing and advising on the loan agreement, drafting security documents and issuing due diligence report and legal opinions.
